AngelQ Terms of Service

Last Updated: Oct 1st 2026

These Terms of Service (the "Terms") are an agreement between you and Angel AI Co. ("AngelQ," "we," "us," or "our"). They govern your use of the AngelQ services described in Section 1.2, including the AngelQ app, the AngelQ parent experience, AngelCast, and any Angel consumer services. Our Privacy Policy at angelq.ai/app-privacy-policy (the "Privacy Policy") explains how we collect and use personal information, including children's personal information, and is part of these Terms.

The short version. This summary is here to help you read the Terms. It is not a substitute for them.

• Accounts are for parents and legal guardians who are 18 or older. Children and teens use AngelQ only through Child Profiles that a parent creates and supervises.

• AngelQ uses AI. Our safety systems reduce risk but cannot eliminate it, and AI responses can be wrong. Please stay involved in how your child uses AngelQ.

• You keep ownership of what you and your children put into AngelQ. AngelQ owns the AI-generated output, and you get a broad license to use it and share it non-commercially.

• We use de-identified content to improve AngelQ's own services and safety systems. We do not let our third-party AI providers train their models on your content, we do not sell personal information, and we do not use your child's content in marketing without your separate consent.

• You may not reverse engineer, scrape, or copy AngelQ's technology or use our output to train other AI models.

• Paid subscriptions renew automatically until you cancel. Most disputes go to individual arbitration, not court, unless you opt out within 30 days.

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, CLICKING "I ACCEPT" OR A SIMILAR BUTTON, ACCEPTING THESE TERMS IN THE ANGELCAST COMMAND-LINE TOOL, OR OTHERWISE ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

AUTOMATIC RENEWAL: IF YOU PURCHASE A SUBSCRIPTION, IT WILL AUTOMATICALLY RENEW FOR SUCCESSIVE PERIODS OF THE SAME LENGTH AT THE THEN-CURRENT PRICE UNTIL YOU CANCEL, AS DESCRIBED IN SECTION 7.

ARBITRATION NOTICE: SECTION 17 CONTAINS AN AGREEMENT TO ARBITRATE. EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTION 17, YOU AND ANGELQ AGREE THAT DISPUTES WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 17.10.

PART A — TERMS FOR ALL SERVICES

1. The Agreement and the Services

1.1 The Agreement. These Terms consist of Part A (terms for all Services), Part B (terms for specific products), and Part C (dispute resolution and general provisions), together with the Privacy Policy and any additional terms we present to you for a particular feature ("Supplemental Terms"). If Part B or any Supplemental Terms conflict with Part A, Part B or the Supplemental Terms control for that product or feature.

1.2 The Services. The "Services" means (a) our websites at angelq.ai and its subdomains, and any other website that links to these Terms; (b) our mobile and web applications, including the AngelQ app and its features (such as Angel Chat, Angel Search, Angel Research, Angel Video Ratings, and Angel Learn) and the AngelQ parent web portal and parent assistant features (together, the "App"); (c) AngelCast, including the AngelCast command-line tool and agent skill; and (d) all related content, software, and services we provide.

1.3 Business customers. These Terms govern individual and family use of the Services. If you are a business, school, or other organization that licenses AngelQ technology (including KidRails), your use is governed by your signed agreement with AngelQ, not these Terms, except to the extent that agreement incorporates them. If you use a product offered by another company that is built with AngelQ technology, that company's terms govern your use of its product.

1.4 Changes to the Services. The Services evolve. We may add, change, suspend, or discontinue any part of the Services, and we may require you to install updates to keep using them. Features labeled beta, preview, or experimental are offered as described in Section 10.3.

2. Eligibility, Accounts, and Children

2.1 Account holders. To create an account (an "Account"), you must be at least 18 years old, able to form a binding contract, and not barred from using the Services under applicable law. Each Account is held by a parent or legal guardian (a "Parent"). Business accounts are covered by Section 1.3.

2.2 Child Profiles. Children and teens under 18 may use the Services only through a profile that a Parent creates and manages under the Parent's Account (a "Child Profile"). In AngelCast, Child Profiles are called "Listeners." By creating a Child Profile, you confirm that you are the parent or legal guardian of that child. You are responsible for supervising your child's use of the Services, for the settings you choose, and for all activity under your Account and its Child Profiles. Some features let you set a Parent PIN; keep it confidential from your children.

2.3 Parental consent. The Children's Online Privacy Protection Act ("COPPA") requires us to obtain verifiable parental consent before we collect personal information from a child under 13. We obtain that consent using the method described for each Service in the Privacy Policy (for example, a subscription purchase made through the parent's app store account for the App). By creating a Child Profile, you consent to our collection, use, and disclosure of your child's information as described in the Privacy Policy. We will ask for your separate consent before disclosing a child's personal information to third parties for any purpose that is not integral to the Services. You may review your child's information, ask us to delete it, or withdraw your consent at any time as described in the Privacy Policy.

2.4 Accurate information. You agree to provide accurate, current, and complete information when you register and to keep it up to date. Provide only the information we ask for about your child. A first name is enough; do not include a child's surname, school, or address in a Child Profile or a prompt.

2.5 Account security. Your password, sign-in links, Parent PIN, and session tokens are credentials. Keep them confidential. Do not share them outside your household, sell or transfer them, or expose them in public code repositories, shared scripts, or logs. Notify us promptly at support@angelq.ai if you believe your Account has been compromised. You have no ownership or property interest in your Account, and we may reclaim usernames that violate these Terms or the rights of others.

2.6 One Account per household. Each household may maintain one Account. You may not create an Account using false information or on behalf of someone else, create additional Accounts to obtain more usage or evade limits, or create an Account if we previously terminated yours for a violation of these Terms.

2.7 Equipment. You are responsible for the devices, internet access, and software you need to use the Services and for any related fees, such as data charges.

3. Your Content and AI Output

3.1 Definitions. "Inputs" means the questions, prompts, voice input, documents, interests, profile details, and other material that you, your children, or an agent acting for you submit to the Services. "Output" means the content the Services generate in response, including chat and search responses, research results, summaries, ratings, recommendations, audio, and AngelCast episodes. Inputs and Output may be processed by the third-party AI services described in Section 3.7.

3.2 Your Inputs. As between you and AngelQ, you (or your child) keep ownership of your Inputs. You are responsible for your Inputs and confirm that you have the rights needed to submit them and to grant the licenses in this Section 3.

3.3 Ownership of Output. As between you and AngelQ, and to the extent intellectual property rights exist in it, AngelQ and its licensors own all Output, including the characters, AI guides, show formats, voices, music, and artwork reflected in it. Output may not be unique: the Services may generate the same or similar Output for other users. AngelQ does not represent that any Output is protected by intellectual property rights.

3.4 Your license to Output. If you comply with these Terms, AngelQ grants you a worldwide, non-exclusive, royalty-free, non-transferable, non-sublicensable license to use, copy, download, store, display, and play Output generated through your Account for personal, household, and non-commercial educational purposes, and to share it as permitted by Section 3.5. Additional rules for AngelCast episodes are in Section 16.5.

3.5 Sharing Output. You may share Output generated through your Account with others, including publicly on social media, on a non-commercial basis, if you:

(a) do not present Output as created by a human or by any real person;

(b) do not sell or license Output, place it behind a paywall, use it in advertising or paid or sponsored content, or post it to a channel or account you monetize (posting to a personal account is not commercial use merely because the platform shows advertising you do not control);

(c) do not edit Output in a way that misrepresents what the Services generated, or suggest that AngelQ endorses you, your views, or any product or service;

(d) comply with applicable law and the rules of the platform where you share; and

(e) remove shared Output promptly if we reasonably ask you to because it violates these Terms or could cause harm.

Output may contain your child's first name, interests, or other details. Whether to share it publicly is your decision and your responsibility. We recommend sharing only Output that does not identify your child.

3.6 Our license to operate the Services. You grant AngelQ a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, copy, process, transmit, display, and modify your Inputs and Output as needed to provide, maintain, secure, and support the Services; to review content for safety; to enforce these Terms; and to comply with law. Our service providers may exercise this license on our behalf, subject to Section 3.7.

3.7 AI services and how we use content. The Services use AI models and services, some provided by third parties ("AI Services"), to generate Output. We share Inputs with AI Services only as needed to generate Output and operate the Services. In addition:

(a) Improving AngelQ. We may use Inputs and Output in de-identified form, meaning with names and other information that reasonably identifies you or your child removed, to improve, develop, test, and evaluate AngelQ's own services, safety systems, and AI models, including KidRails.

(b) No third-party training. We do not permit our third-party AI Service providers to use your Inputs or Output, or your children's, to train their own models.

(c) No sale or advertising. We do not sell personal information, and we do not use children's personal information for advertising.

(d) No marketing use without consent. We will not use your child's Inputs, Output, voice, or likeness in marketing or promotional materials without your separate, express consent.

The Privacy Policy describes these practices in more detail, including how long we keep information.

3.8 Limits of AI. AI can produce responses that are inaccurate, incomplete, outdated, or unsuitable. AngelQ's safety systems, built on KidRails, review and filter content to reduce these risks, but they cannot eliminate them. Output is not medical, legal, financial, psychological, or other professional advice, and it does not replace a parent's judgment, a teacher, or a qualified professional. Please supervise your child's use of the Services and report any problem to support@angelq.ai.

3.9 Storage. We are not obligated to store any Inputs or Output, and we may delete them in accordance with our data retention practices described in the Privacy Policy. Download anything you want to keep.

3.10 Feedback. If you send us ideas, suggestions, or other feedback ("Feedback"), you grant AngelQ a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use it for any purpose without obligation to you. Feedback is not confidential.

4. AngelQ's Intellectual Property

4.1 Ownership. Except for your Inputs, AngelQ and its licensors own all rights in the Services, including software, models, prompts, safety systems, designs, characters, AI guides, show formats, text, graphics, audio, and documentation, and all improvements to them. These Terms do not transfer any of those rights to you.

4.2 Software license. If you comply with these Terms, AngelQ grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App and any other software we provide for the Services ("Software") on devices you own or control, solely for personal and household use of the Services. Software is licensed, not sold. Third-party open-source components included in Software are governed by their own licenses, and nothing in these Terms limits the rights those licenses give you.

4.3 Trademarks. AngelQ, AngelCast, KidRails, the names of our features and shows, and our logos, characters, and trade dress are trademarks of AngelQ. You may not use them without our permission, except to make accurate, non-misleading references to the Services. Other trademarks belong to their respective owners.

5. Acceptable Use

5.1 Content and conduct. You will not, and will not allow your children or anyone using your Account to, use the Services to:

(a) create, submit, or seek content that is unlawful, sexually explicit, obscene, violent, hateful, harassing, threatening, defamatory, or otherwise harmful, or that exploits, endangers, or sexualizes minors in any way;

(b) frighten, shame, bully, manipulate, or otherwise harm a child, or exploit any person's vulnerabilities in a way likely to cause physical or psychological harm;

(c) impersonate any person, or imitate a real person's voice or likeness without that person's consent or legal right;

(d) submit another person's personal information without permission, or sensitive information such as government identification numbers or financial or medical information;

(e) infringe or misappropriate anyone's intellectual property or other rights;

(f) generate or spread false information intended to deceive or to cause harm, including to influence elections; create fake online engagement; or promote violent extremism, terrorism, or discrimination based on protected characteristics;

(g) make automated decisions affecting anyone's legal rights, health, employment, credit, or similar interests, or present Output as professional advice;

(h) conduct contests, advertising, or other commercial activity without our written consent, or use the Services for any military purpose; or

(i) violate any applicable law, including laws requiring notice to or consent from people whose voices are recorded.

5.2 Protection of the Services. You will not, and will not attempt to, assist, or allow any person or AI agent to:

(a) Reverse engineer. Decompile, disassemble, reverse engineer, or otherwise attempt to discover, derive, or reproduce the source code, protocols, models, model weights, prompts, system instructions, safety rules, classifiers, training data, or other non-public technology of the Services or Software, including by analyzing Software executables or memory, or the Services' responses, error messages, timing, or network traffic, for that purpose.

(b) Extract prompts or defeat safety. Submit Inputs designed to make the Services reveal their instructions or internal configuration, or to bypass, disable, or defeat their safety systems or content filters, except as permitted in Section 5.4.

(c) Train or distill models. Use the Services or any Output to develop, train, fine-tune, distill, evaluate, or improve any AI or machine learning model, voice, or system; include Output in any dataset for those purposes; or develop a product or service that competes with the Services.

(d) Scrape. Use any robot, spider, scraper, crawler, or other automated method to access, extract, or copy data or content from the Services, except (i) through official interfaces we provide for that purpose, such as the AngelCast command-line tool, and (ii) operators of public search engines may index our public websites to create searchable indexes, but not caches or archives.

(e) Circumvent limits. Exceed, evade, or circumvent any usage limit, rate limit, credit balance, paywall, or access control, including by using multiple Accounts, shared credentials, or modified clients.

(f) Use unofficial interfaces. Access the Services through any interface other than the official apps, websites, and tools we provide or authorize in writing, or call any undocumented or non-public endpoint.

(g) Interfere with security. Probe, scan, or test the vulnerability of the Services; breach or circumvent security or authentication; introduce malware; or interfere with or disrupt the Services, including by overloading, flooding, or spamming them, except as permitted in Section 5.4.

(h) Remove notices or labels. Remove, alter, or obscure any copyright, trademark, or other proprietary notice, or any AI-generation label, watermark, or metadata identifier in or attached to Output, except where it is lost incidentally through ordinary file conversion for personal use.

(i) Commercialize or copy. Sell, resell, license, rent, lease, host, frame, or otherwise commercially exploit the Services or Software; copy, modify, or create derivative works of the Services or Software; or use AngelQ's names or trademarks in metatags or hidden text.

5.3 Legal exceptions. The restrictions in Section 5.2 apply except to the extent applicable law expressly gives you a right that cannot be limited by contract (for example, a right to reverse engineer software for interoperability). Before exercising such a right, you agree to email legal@angelq.ai describing what you need; we may be able to provide it.

5.4 Good-faith security and safety research. We want to hear about vulnerabilities and safety failures, especially anything that could expose a child to inappropriate content. You may test the Services in good faith if you: (a) use only your own Account and never a Child Profile used by a real child; (b) keep testing at a low volume that stays within usage limits and does not degrade the Services; (c) do not access, modify, or retain anyone else's data; (d) do not show content produced during testing to children or publish it; (e) report what you find promptly to support@angelq.ai with "Security" in the subject line; and (f) give us at least 90 days to address the issue before any public disclosure. We will not bring a claim against you under Section 5.2(b) or 5.2(g) for research that meets these conditions. This Section does not authorize reverse engineering, extracting non-public technology, or training models.

5.5 Monitoring and enforcement. We may, but are not obligated to, review, monitor, filter, and remove Inputs and Output, including through automated safety systems, to protect children, operate the Services, and enforce these Terms. Parents may also be able to review their children's activity. If we believe these Terms have been violated, we may remove content, restrict features, or suspend or terminate Accounts. We may report content and preserve information as required by law, including reports concerning child sexual exploitation to the National Center for Missing & Exploited Children, and we may cooperate with law enforcement when we believe it is necessary to protect a child or others. Section 13 describes suspension and termination.

6. Third-Party Services

6.1 Generally. The Services may link to, display, or work with websites, apps, content, and services operated by third parties ("Third-Party Services"). We do not control and are not responsible for Third-Party Services. Your use of them is governed by their own terms and privacy policies.

6.2 Connected Accounts. Some features let you link accounts you hold with third-party services ("Connected Accounts"). By linking a Connected Account, you confirm that you are entitled to do so under that service's terms, and you authorize us to access and use information from it as described in these Terms and the Privacy Policy. The third party alone controls the availability of each Connected Account, and we are not liable if it becomes unavailable.

6.3 YouTube. The Services use YouTube API Services. By using features that display YouTube content, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Google's Privacy Policy (https://policies.google.com/privacy) describes how Google collects and uses information.

6.4 Exporting your content. If you use the Services, or an AI agent acting for you, to send Output or other information to a Third-Party Service (for example, uploading AngelCast episodes to a Yoto player), you authorize that transfer, and the Third-Party Service's use of that information is governed by its terms.

6.5 Apple App Store. If you downloaded the App from the Apple App Store: (a) these Terms are between you and AngelQ only, not Apple, and AngelQ, not Apple, is solely responsible for the App and its content; (b) your license to the App is limited to use on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be used by other accounts associated with you through Family Sharing or volume purchasing; (c) Apple has no obligation to provide maintenance or support for the App; (d) if the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any, and to the maximum extent permitted by law Apple has no other warranty obligation; (e) Apple is not responsible for addressing any claims by you or a third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and consumer protection claims; (f) Apple is not responsible for the investigation, defense, settlement, or discharge of any claim that the App infringes a third party's intellectual property rights; (g) you represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties; (h) you must comply with applicable third-party terms when using the App; (i) questions, complaints, or claims about the App may be directed to us at the contact information in Section 18.13; and (j) Apple and its subsidiaries are third-party beneficiaries of these Terms with respect to your license to the App and may enforce these Terms against you.

6.6 Google Play. If you downloaded the App from Google Play, you may have additional rights to use it within your Google Play family group, and your use must also comply with Google Play's terms.

7. Fees, Subscriptions, and Purchases

7.1 Payment processing. Purchases made through an app store are processed by that app store under its terms. Purchases made directly from AngelQ are processed by our payment processor, Stripe, Inc. Stripe's Privacy Policy (https://stripe.com/privacy) describes how Stripe handles your payment information. You authorize us and our payment processor to verify your payment information and to share it as needed to complete your transactions.

7.2 Fees. You agree to pay the fees for any paid Services you purchase ("Fees"), as shown at the time of purchase, plus applicable taxes. If we cannot collect a Fee, we may suspend or cancel the paid Service. Except as stated in Section 7.6 or required by law, Fees are non-refundable.

7.3 Subscriptions and automatic renewal. Some Services are offered as subscriptions that renew automatically. If you purchase a subscription, you authorize us (or the app store) to charge your payment method at the start of the subscription and at the start of each renewal period at the then-current price, until you cancel. We will show you the price, billing frequency, and how to cancel before you purchase, and we will send any renewal reminders required by law.

7.4 Cancelling. You may cancel a subscription at any time, effective at the end of the current billing period. To cancel a subscription purchased through an app store, use that app store's subscription settings. To cancel a subscription purchased directly from AngelQ, use your account settings in the App or parent web portal, or email subscription_services@angelq.ai. After you cancel, you keep access until the end of the period you have paid for.

7.5 Free trials. If you start a free trial, it will convert to a paid subscription at the end of the trial unless you cancel before the trial ends. We will tell you the trial length and the price before you start, and we will send any reminders required by law. If you are charged in error and notify us, we will reverse the charge.

7.6 Seven-day refund. If you purchased a subscription directly from AngelQ, you may cancel within seven days after it begins or renews and receive a refund of that period's Fee. Refunds for app store purchases are handled by the app store under its policies.

7.7 Price changes. We may change prices. We will notify you at least 30 days before a price change takes effect for your subscription, and the new price will apply at your next renewal after that notice. If you do not agree to the new price, you may cancel before it takes effect.

7.8 Free services and credits. Some Services, including AngelCast, may be offered free of charge with usage limits, or through credits. We will give you at least 30 days' notice before charging for a feature that is free at the time, and we will not charge you unless you agree to the pricing. Unless the terms of purchase say otherwise, credits have no cash value, are non-transferable, and are non-refundable.

7.9 Taxes. Fees do not include taxes. You are responsible for any sales, use, or similar taxes that apply to your purchases, and we will collect them where required by law.

8. Privacy

The Privacy Policy explains what information we collect, including from and about children, how we use and share it, how long we keep it, and the choices and rights you have, including a Parent's rights to review, delete, and stop further collection of a child's information. By using the Services, you acknowledge the Privacy Policy. If these Terms and the Privacy Policy conflict on how we handle personal information, the Privacy Policy controls.

9. Indemnification

To the extent permitted by law, you, as the Account holder, will indemnify and hold harmless AngelQ and its affiliates, officers, employees, agents, licensors, and suppliers (the "AngelQ Parties") from third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your Inputs or your use of Output; (b) your or your Account's violation of these Terms or applicable law; (c) your violation of anyone's rights; or (d) your failure to have the rights needed to link a Connected Account. We may assume the defense of any matter at our own expense, and you will cooperate with us. You are not required to indemnify an AngelQ Party for its own fraud, deception, misrepresentation, or unconscionable commercial practice.

10. Disclaimers

10.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, SOFTWARE, AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS, AND YOUR USE OF THEM IS AT YOUR OWN RISK. THE ANGELQ PARTIES DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10.2 WITHOUT LIMITING SECTION 10.1, THE ANGELQ PARTIES DO NOT WARRANT THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS OR BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE FOR YOUR CHILD; OR (C) OUR SAFETY SYSTEMS, CONTENT FILTERS, OR RATINGS WILL IDENTIFY OR BLOCK ALL INAPPROPRIATE CONTENT. WE RATE AND FILTER THIRD-PARTY CONTENT BUT DO NOT CONTROL IT.

10.3 BETA, PREVIEW, AND EXPERIMENTAL FEATURES ARE PROVIDED FOR EVALUATION, MAY CONTAIN ERRORS, AND MAY BE CHANGED OR DISCONTINUED AT ANY TIME.

10.4 THE ANGELQ PARTIES ARE NOT RESPONSIBLE FOR THE CONDUCT OF THIRD PARTIES, INCLUDING PROVIDERS OF THIRD-PARTY SERVICES AND AI SERVICES. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO SOME OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

11. Limitation of Liability

11.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE ANGELQ PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF THOSE DAMAGES.

11.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE ANGELQ PARTIES' TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATEST OF (A) THE AMOUNT YOU PAID ANGELQ IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, (B) ONE HUNDRED U.S. DOLLARS ($100), OR (C) ANY STATUTORY DAMAGES OR PENALTY THAT APPLIES TO THE CLAIM AND CANNOT BE LIMITED BY CONTRACT.

11.3 SECTIONS 11.1 AND 11.2 DO NOT LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY AN ANGELQ PARTY'S NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, OR FOR ANY OTHER LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND ANGELQ.

12. Copyright and Intellectual Property Complaints

We respect intellectual property rights and will terminate, in appropriate circumstances, the Accounts of users who repeatedly infringe. If you believe material on the Services infringes your copyright or other intellectual property rights, send our designated agent a notice that includes: (a) your physical or electronic signature, or that of a person authorized to act for the rights owner; (b) identification of the work or right you claim is infringed; (c) identification of the material you claim is infringing and where it is located on the Services; (d) your address, telephone number, and email address; (e) a statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent, or the law; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the rights owner or authorized to act on the owner's behalf.

Designated agent: Copyright Agent, Angel AI Co., 201 Summit View Dr., Ste 250, Brentwood, TN 37027 · legal@angelq.ai · 615-295-8647

13. Term, Suspension, and Termination

13.1 Term. These Terms apply from when you first accept them or use the Services until terminated.

13.2 By you. You may stop using the Services at any time. To close your Account, use the account settings in the App or parent web portal, or email support@angelq.ai. Closing your Account does not cancel an app store subscription; cancel that through the app store as described in Section 7.4.

13.3 By us. We may suspend or terminate your access to all or part of the Services immediately if you materially breach these Terms, if your use creates risk to children, other users, or the Services, or if we are required to by law or by a provider. We may also terminate these Terms or discontinue a Service for any other reason on reasonable notice. If we discontinue a paid Service for reasons other than your breach, we will refund any prepaid Fees for the unused portion of your subscription period.

13.4 Effect. When your access ends, your licenses under these Terms end, you must stop using and uninstall the Software, and we may delete your Account data in accordance with the Privacy Policy. Your license to Output you downloaded before termination continues unless we terminated your access for a violation of Section 5 or Section 16. If we terminate your Account for a violation of these Terms, you may not create a new Account without our permission. Sections 3, 4, 5.2, 5.3, 9 through 12, 13.4, 16.2, 16.5, 17, and 18, and any provision that by its nature should survive, survive termination.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated Terms and change the "Last Updated" date. If you have an Account, we will notify you of material changes by email at least 30 days before they take effect, and we may ask you to accept the updated Terms before you continue using the Services. Changes take effect immediately for people without an Account. If you do not agree to a change, stop using the Services and close your Account before the change takes effect. Changes to the Arbitration Agreement are also governed by Section 17.12.

PART B — PRODUCT TERMS

15. AngelQ App and Parent Experience

15.1 Parent controls. The App lets Parents create Child Profiles, choose age and content settings, and review activity. You are responsible for choosing settings that fit your child and for keeping your Parent PIN and device access secure. Age-customized content depends on the information and settings you provide.

15.2 Ratings and third-party content. Features such as Angel Search and Angel Video Ratings help you find, rate, and filter content created by third parties, including videos made available through YouTube API Services. Ratings and recommendations are AngelQ's opinions, generated with AI and other tools. They are not guarantees, and third-party content may change after it is rated. 15.3 Parent assistant features. Suggestions, insights, and summaries provided to Parents are informational. They are not medical, psychological, educational, or other professional advice, and they are not a substitute for your own judgment.

15.4 Voice features. Some features accept voice input. Voice recordings may be personal information and are handled as described in the Privacy Policy. You are responsible for complying with any laws that require notice to or consent from people whose voices are recorded through your devices.

16. AngelCast

AngelCast generates personalized audio episodes for families. This Section 16 applies in addition to Part A when you use AngelCast.

16.1 Definitions. "AngelCast Software" means the angelcast command-line tool (in any version, with its installers and packages), the AngelCast agent skill and reference files, and their documentation and updates. "Approved Client" means the official, unmodified AngelCast Software (including personal adjustments to the agent skill permitted by Section 16.2), and any other interface we make available or authorize in writing. "Episodes" means the audio, scripts, transcripts, titles, descriptions, cover images, and other Output that AngelCast generates, including episodes in a series.

16.2 AngelCast Software license. The AngelCast Software is Software under Section 4.2. In addition to the rights in that Section, you may install the AngelCast agent skill into AI agents you use, allow those agents to read and follow it, and adjust its instructions for your own agents' use. You may not distribute the AngelCast Software or any modified version of it. Our use of public distribution channels such as GitHub, Homebrew, and npx skills does not grant you any additional rights.

16.3 Earlier versions. Some earlier AngelCast materials were made available under the Apache License, Version 2.0. Nothing in these Terms limits any right that license granted in those earlier materials. That license never granted, and does not grant, any right to access the Services or to use our trademarks. Your access to AngelCast, through any version of any client, is governed exclusively by these Terms.

16.4 Agents, scripts, and clients. You may run the official command-line tool from scripts and from AI agents acting on your behalf, and you may use its documented output in your own scripts. Anything your script or agent does through your Account is treated as your action, including destructive commands such as deleting episodes or Listeners. You may access AngelCast only through an Approved Client. You may not use the AngelCast Software or any other means to provide AngelCast, or access to it, to anyone outside your household, including through a hosted service, app, bot, or API wrapper, without our written agreement.

16.5 Sharing Episodes. Episodes are Output, and Sections 3.3 through 3.5 apply to them. Your license includes transferring Episodes to personal audio players and services, such as Yoto "Make Your Own" playlists. When you share an Episode publicly:

(a) Keep the AI notice. Episodes may include a built-in notice that they were generated with AI, for example in the audio, cover image, or file information. Do not remove or obscure it. If the Episode or excerpt you share does not include that notice, clearly label it as AI-generated, for example "Made with AngelCast (AI-generated audio)."

(b) Credit AngelCast. Where the platform reasonably allows, please credit AngelCast, for example with "Made with AngelCast" or by tagging @angelq_ai.

(c) Do not alter voices. You may trim, excerpt, caption, and add your own commentary to an Episode, but you may not edit, splice, or remix it so that it states something AngelCast did not generate, or use the AngelCast host voices to say anything else.

16.6 Usage limits. AngelCast is currently offered free of charge, subject to usage limits that we publish in the AngelCast documentation and that the command-line tool reports. We may change those limits at any time, including for a particular Account to protect the Services. Section 7.8 applies if we introduce credits or fees.

16.7 Licensed models. AngelCast uses AI models, including models we license from third parties such as MiniMax. Some licensors require us to pass their use restrictions on to you. Those restrictions are reflected in Sections 5 and 16.5, and you agree to comply with them.

16.8 AI agents and destinations. If you use an AI agent with AngelCast, the agent's provider may receive the information the agent handles, including prompts, Listener names, and Episodes, under that provider's terms. AngelQ has no integration with, and is not responsible for, the destination services you or your agent use, such as Yoto.

PART C — DISPUTE RESOLUTION AND GENERAL PROVISIONS

17. Arbitration Agreement

Please read this Section 17 (the "Arbitration Agreement") carefully. It affects your rights. It requires mandatory binding individual arbitration and includes a waiver of class actions and jury trials.

17.1 Applicability. You and AngelQ agree that any dispute, claim, or controversy arising out of or relating in any way to these Terms (or any prior version of them), the Services, or any communications you receive from us, including disputes that arose before these Terms took effect or that arise after they end (each, a "Dispute"), will be resolved by binding arbitration rather than in court, except that: (a) either party may bring an individual claim in small claims court if it qualifies and remains there; and (b) either party may seek equitable relief in court to stop infringement or other misuse of intellectual property rights (such as trademarks, trade dress, domain names, trade secrets, copyrights, and patents) or a violation of Section 5.2. Any related claim for money damages remains subject to this Arbitration Agreement.

17.2 Informal dispute resolution. Before either party starts arbitration or a small claims action, the party raising the Dispute must send the other a written notice ("Notice") and the parties will meet by telephone or videoconference in a good-faith effort to resolve it (an "Informal Dispute Resolution Conference"). Send Notice to AngelQ by email to legal@angelq.ai or by mail to Angel AI Co., 201 Summit View Dr., Ste 250, Brentwood, TN 37027. The Notice must include your name, telephone number, mailing address, and the email address associated with your Account (if any); the name and contact information of your counsel (if any); and a description of the Dispute. The conference will take place within 45 days after the Notice is received, unless the parties agree to extend that time. If you are represented by counsel, your counsel may participate, but you must also participate. A separate conference is required for each Dispute and each individual, unless all parties agree otherwise. Completing this process is a condition precedent to starting arbitration. Statutes of limitations and filing-fee deadlines are tolled while the parties complete this process.

17.3 Waiver of jury trial. YOU AND ANGELQ WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHT TO SUE IN COURT AND TO HAVE A TRIAL BEFORE A JUDGE OR JURY, except as provided in Section 17.1. In arbitration there is no judge or jury, and court review of an arbitration award is limited.

17.4 Waiver of class and other non-individualized relief. EXCEPT AS PROVIDED IN SECTION 17.9, YOU AND ANGELQ MAY BRING CLAIMS AGAINST EACH OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS-ACTION BASIS, AND THE DISPUTES OF MORE THAN ONE USER MAY NOT BE ARBITRATED OR CONSOLIDATED TOGETHER. The arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim. If a court finally decides, after all appeals, that this Section 17.4 is unenforceable as to a particular claim or request for relief (such as a request for public injunctive relief), that claim or request alone will be severed and litigated in the state or federal courts described in Section 18.8, and all other Disputes will be arbitrated or brought in small claims court. This Section does not prevent either party from participating in a class-wide settlement.

17.5 Rules and forum. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Arbitration Agreement. If a Dispute is not resolved within 60 days after the Notice is received, either party may start arbitration. The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (the "AAA Rules"), as modified by this Arbitration Agreement. A party starting arbitration must send the other party a request (a "Request") that includes the party's name, telephone number, mailing address, email address, and Account email (if any); a statement of the legal claims and their factual basis; a description of the remedy sought with a good-faith calculation of the amount in controversy; a certification that the Informal Dispute Resolution Conference was completed; and evidence that any required filing fee was paid. If the party is represented by counsel, the Request must include counsel's contact information and be signed by counsel, who thereby certifies that the Request is not presented for an improper purpose, that its claims are warranted by law or a non-frivolous argument, and that its factual and damages contentions have or are likely to have evidentiary support. Unless the parties agree otherwise or Section 17.9 applies, the arbitration will take place in the county where you reside, and hearings may be conducted by videoconference. Your responsibility for AAA fees is governed by the AAA Rules. If the AAA is unavailable, the parties will select another arbitral forum. The parties will keep confidential the materials exchanged in the arbitration, except as needed to enforce an award or as required by law.

17.6 Arbitrator. The arbitrator will be a retired judge or an attorney licensed to practice law, selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties cannot agree within 35 days after the Request is delivered, the AAA will appoint the arbitrator under the AAA Rules, and if Section 17.9 applies, the AAA will appoint the arbitrator for each batch.

17.7 Authority of arbitrator. The arbitrator has exclusive authority to resolve all Disputes, including disputes about the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, except that a court will decide: (a) Disputes about Section 17.4, including whether it is enforceable or has been breached; (b) except as provided in Section 17.9, Disputes about the payment of arbitration fees; (c) Disputes about whether a party has satisfied a condition precedent to arbitration; and (d) Disputes about which version of this Arbitration Agreement applies. The arbitrator may grant dispositive motions and will issue a written award explaining the essential findings and conclusions, including the calculation of any damages. The award is final and binding, and judgment on it may be entered in any court with jurisdiction.

17.8 Fees and costs. Each party bears its own attorneys' fees and costs in arbitration, unless the arbitrator finds that the substance of a Dispute or the relief sought was frivolous or brought for an improper purpose under the standards of Federal Rule of Civil Procedure 11(b), or unless applicable law provides otherwise. A party that obtains a court order compelling arbitration may recover its reasonable costs and attorneys' fees in obtaining that order. The prevailing party in any court action about whether a party satisfied a condition precedent to arbitration may recover its reasonable costs and attorneys' fees.

17.9 Batch arbitration. If 100 or more Requests of a substantially similar nature are filed against AngelQ by or with the assistance of the same law firm, group of law firms, or organizations within a 30-day period (or as soon as possible after that), the AAA will (a) administer them in batches of 100 (with any remainder in a final batch); (b) appoint one arbitrator for each batch; and (c) resolve each batch as a single consolidated arbitration with one set of filing and administrative fees per side per batch, one procedural calendar, one hearing (if any) in a place the arbitrator determines, and one final award ("Batch Arbitration"). Requests are "substantially similar" if they arise from the same event or factual scenario and raise the same or similar legal issues and seek the same or similar relief. If the parties disagree about whether Batch Arbitration applies, the AAA will appoint a single administrative arbitrator to decide, whose fees AngelQ will pay. The parties will cooperate in good faith to implement Batch Arbitration, including any steps to reduce time and cost. This Section does not authorize class, collective, or mass arbitration except as expressly stated here.

17.10 30-day right to opt out. You may opt out of this Arbitration Agreement by sending written notice within 30 days after you first become subject to it, by email to legal@angelq.ai with the subject line "Arbitration Opt-Out," or by mail to Angel AI Co., 201 Summit View Dr., Ste 250, Brentwood, TN 37027. Your notice must include your name, mailing address, the email address associated with your Account (if any), and a clear statement that you want to opt out of this Arbitration Agreement. If you opt out, the rest of these Terms continue to apply. Opting out does not affect any other arbitration agreement you have with us.

17.11 Severability and time limits. Except as provided in Section 17.4, if any part of this Arbitration Agreement is found invalid or unenforceable, that part will be severed and the rest will remain in effect. Any Dispute must be brought within the applicable statute of limitations, which applies in arbitration as it would in court.

17.12 Changes. If we make a material change to this Arbitration Agreement, we will notify you. You may reject the change by writing to us at the addresses in Section 17.10 within 30 days after it takes effect; otherwise, your continued use of the Services means you accept it. If you reject a change, the version of this Arbitration Agreement you previously accepted continues to apply. A change does not give you a new opportunity to opt out if you previously accepted an arbitration agreement with us and did not opt out. We will continue to honor any valid opt-out you made under a prior version.

18. General Provisions

18.1 Electronic communications. You consent to receive communications from us electronically, including by email and through the Services, and agree that electronic communications satisfy any legal requirement that a communication be in writing. This does not affect your rights under the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 et seq.

18.2 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without your consent, including in connection with a merger, acquisition, or sale of assets. Any attempted assignment in violation of this Section is void.

18.3 Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, pandemics, labor disputes, utility or internet failures, and failures of third-party providers.

18.4 International users. The Services are controlled and offered from the United States. We make no representation that they are appropriate or available elsewhere. If you access the Services from outside the United States, you do so on your own initiative and are responsible for complying with local law.

18.5 Export controls and sanctions. You may not use, export, or re-export the Services or Software except as permitted by U.S. law and the laws of the jurisdiction where you obtained them. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.

18.6 California users. Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

18.7 Governing law. These Terms and any Dispute are governed by the laws of the State of Tennessee, consistent with the Federal Arbitration Act, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18.8 Venue. To the extent these Terms permit a Dispute to be brought in court, you and AngelQ agree that it will be brought exclusively in the state or federal courts located in Davidson County, Tennessee (Nashville), and both parties consent to personal jurisdiction there.

18.9 Notices. We may send notices to the email address associated with your Account, and notice is effective when sent. Keep your email address current. You may send legal notices to Angel AI Co., 201 Summit View Dr., Ste 250, Brentwood, TN 37027, or to legal@angelq.ai.

18.10 Waiver and severability. Our failure to enforce any provision is not a waiver of it. Except as provided in Section 17, if any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

18.11 Interpretation. Headings and the summary at the beginning of these Terms are for convenience only and do not affect their meaning. "Including" means "including without limitation." Apple and its subsidiaries are third-party beneficiaries as described in Section 6.5; otherwise, these Terms create no third-party beneficiary rights.

18.12 Entire agreement. These Terms, including the Privacy Policy and any Supplemental Terms, are the entire agreement between you and AngelQ about the Services. They supersede any prior terms of use and any prior AngelCast Supplemental Terms, except that any arbitration opt-out you made under a prior version remains effective.
